1. Introduction

These Terms and Conditions (“Terms”) govern the use of the Genius Nutrition B2B wholesale website (the “Website”) and the purchase of products offered through it. By creating an account, placing an order, or using the Website, you (“Distributor”, “Partner”, or “Customer”) agree to be bound by these Terms.


2. Eligibility and Access
  • Access to the Website is restricted to approved business customers only (B2B).

  • You must represent a registered company, authorized to purchase products for resale or distribution.

  • Genius Nutrition reserves the absolute right to approve or refuse any customer account request, without providing justification.

  • Prices and commercial terms are private and only accessible to approved accounts. 

3. Account Registration
  • To place orders, you must create an account on our Website.

  • Account activation is subject to approval by Genius Nutrition.

  • You are responsible for maintaining the confidentiality of your login credentials.

  • Genius Nutrition reserves the right to suspend or terminate accounts in cases of misuse or fraudulent activity.
4. Products and Availability
  • We offer nutritional supplements and related products intended for resale and distribution.

  • Product descriptions, specifications, and images are for informational purposes only and may be updated at any time.

  • Availability is subject to stock levels and production capacity.

5. Orders
  • Orders must be placed through the Website or via authorized communication channels.

  • After placing an order, you will receive an order confirmation by email.

  • Genius Nutrition reserves the right to reject or cancel orders in cases of incorrect
    information, payment issues, or suspected fraud.
6. Prices and Payment
  • Prices are confidential and visible only to approved accounts.

  • All prices are listed in EUR (or other agreed currency) and exclude VAT, customs duties, and shipping costs unless otherwise stated.

  • Payment terms are specified at checkout (advance payment, proforma invoice, bank transfer, or other approved methods).

  • Orders will only be processed once payment is received in full, unless specific credit terms have been agreed in writing.
7. Shipping and Delivery
  • Delivery terms (Incoterms) and shipping costs will be specified during checkout or contractually agreed.

  • Estimated delivery times are indicative and may vary depending on location, customs, and logistics.

  • Risk of loss or damage passes to the Customer once products are handed over to the carrier.
8. Customs, Duties, and Taxes  
  • Customers are responsible for compliance with import regulations in their country.

  • Any customs duties, taxes, or local charges are the responsibility of the Customer.
9. Returns and Complaints
  • Returns are accepted only for defective products or delivery errors, reported within 7 working days of receipt.

  • Products must be returned in original packaging, unopened, and with proof of purchase.

  • Genius Nutrition reserves the right to inspect returned products before issuing a refund or replacement.
10. Warranties and Liability
  • Products are manufactured according to applicable EU regulations and quality standards.

  • Genius Nutrition does not guarantee suitability of products for specific market regulations outside the EU unless explicitly agreed.

  • Our liability is limited to the value of the products purchased. We are not responsible for indirect damages, loss of profit, or market restrictions in the Customer’s country.

11. Intellectual Property
  • All trademarks, logos, product names, packaging designs, and Website content are the intellectual property of Genius Nutrition.

  • Customers are not allowed to copy, reproduce, or modify branding without written authorization.
12. Marketing and Resale
  • Products may only be marketed and resold under the Genius Nutrition brand unless private label agreements are signed.

  • Customers must comply with all applicable advertising, labeling, and health claim regulations in their markets.
13. Termination 
  • Genius Nutrition may suspend or terminate cooperation with Customers who breach these Terms, misuse the Website, or damage the brand reputation.

  • Genius Nutrition reserves the right to refuse access to the Website or terminate any Customer account at its sole discretion.
14. Governing Law and Jurisdiction
  • These Terms are governed by the laws of Romania and EU regulations.

  • Any disputes will be subject to the jurisdiction of the competent courts in Romania, unless otherwise contractually agreed.
15. Amendments
  • Genius Nutrition reserves the right to update these Terms from time to time.

  • The updated version will be effective as soon as it is published on the Website.
